General Terms and Conditions (GTC)

1. Scope

These General Terms and Conditions (hereinafter referred to as “GTC”) shall apply to all orders placed via the online shop of Solarify GmbH (company number CHE-254.185.516, Hünibachstrasse 77a 3626 Hünibach; hereafter referred to as “Solarify”).

Solarify reserves the right to amend these GTC. In each case, the version of the GTC in force at the time of the order shall apply.

2. Offer

The offer is aimed at natural and legal persons domiciled in Switzerland.

The offer is valid as long as it is visible in the online shop and stocks last. Prices and product range can be changed at any time.

3. Price

The prices are in Swiss francs, including value added tax (VAT). The price in the online shop at the time of the order is decisive.

4. Order

The presentation of the products in the online shop is not a legally binding request, but a non-binding invitation to customers to order the product in the online shop. Solarify reserves the right to limit the order quantities for certain products.

After transmission of the order, the customer will automatically receive a confirmation of receipt which documents that the order has been received by Solarify.

Solarify shall be free to reject orders in whole or in part without stating reasons. In this case, the customer will be informed and any payments already made will be refunded. Any further claims shall be excluded. If no solar panels are available for purchase, the customer may reserve solar panels without obligation and without obligation to purchase.

5. Conclusion of contract

After successful processing of the order by Solarify, the personalized purchase contract (hereinafter referred to as „contract”) shall be sent to the customer by e-mail. The contract is based on the model contract displayed on the product page in the online shop, which is supplemented with the personal details filled in by the customer when placing the order. The delivery is considered as an offer to the customer to conclude this contract. At the request of the customer, the contract can also be sent in paper form. 

With the payment of the purchase price by the customer (payment options according to chapter 7 GTC), the customer accepts the offer and the contract is concluded and becomes legally binding. The provisions on the procedure for gifts in accordance with chapter 8 GTC are reserved.

If the customer directly pays the purchase price online with the order (see chapter 7 GTC), the completed order including agreement to the GTC shall be deemed to be an offer to Solarify to conclude the contract. With the delivery of the personalized contract to the customer, the contract is concluded and comes into force.

6. Right of withdrawal

The customer has the right to withdraw from the order within 10 days of its transmission and, if payment has already been made, to receive a full refund of the amount paid from Solarify.

7. Payment options

Payments are made by bank transfer on account and must be made in Swiss francs.  The invoice will be sent to the customer electronically by e-mail after completion of the order. The outstanding amount must be paid within the payment period of 20 days indicated on the invoice.

Customers can also use other online PostFinance payment options when checking out. The PostFinance Terms and Conditions apply to online payments.

8. Donation

Solar panels can be given away to third parties when ordered. With the consent of their legal guardians, also minors can receive gifts. When selecting the gift option, contact details of the person receiving the gift must be provided. Per order only one third person can be given a gift.  

After successful processing of the order by Solarify, the contract for the person receiving the gift will be sent to the customer by e-mail. The contract is based on the sample contract displayed on the product page in the online store, which is supplemented with the personal details of the person receiving the gift filled in by the customer when placing the order. The contract states that it is a gift from the customer. The delivery is considered as an offer to conclude the contract. At the request of the customer, the contract can also be sent in paper form. 

The contract is concluded only with the signature of the contracting parties. In the case of minors, the contract must be signed by their legal guardians.

It is the customer’s responsibility to forward the contract sent to him/her for signature to the person receiving the gift and to return it to Solarify.

Prerequisite for the contract to come into force is the timely payment of the purchase price by the customer (payment options according to chapter 7 GTC).

9. General provisions

The legal relationship between Solarify and its customers is governed by Swiss law, to the exclusion of the conflict of laws and the Vienna Sales Convention (CISG).

As soon as the contract is concluded and comes into force, its provisions shall take precedence over the General Terms and Conditions.
